1. Introduction

By accessing or using our services, including business finance introductions, card payment solutions and related business services, you agree to comply with and be legally bound by the following Terms and Conditions.

If you do not agree to these terms, you must refrain from using our services.

2. Scope and Application

These Terms apply to all service agreements and interactions between JOS FINSERV LTD (“we”, “our”, or “the Supplier”) and the client (“you”, “your”, or “the Client”), unless a separate written agreement is signed. These Terms are governed by the laws of England and Wales.

3. Definitions
  • Agreement: Legally binding agreement including these Terms, service agreements, forms, and pricing.
  • Client: The individual or organisation using our services.
  • Services: All services offered by us including loans, card payments, broadband, lead generation.
  • Supplier: JOS FINSERV LTD and authorised partners.
4. Client Obligations
  • Provide accurate and complete information.
  • Ensure compatibility with supplied systems.
  • Follow testing or validation before full deployment.
  • Notify us of business or financial changes.
5. Supplier Responsibilities

We deliver services with reasonable care and skill in compliance with FCA, GDPR, and UK lending regulations. We are not liable for third-party issues beyond our control.

6. Intellectual Property

All branding, software, and materials remain our property. You receive non-transferable rights solely for service use.

7. Agreement Duration and Termination

Initial agreement lasts 12 months and auto-renews unless terminated with 3 months’ notice. We may suspend/terminate immediately for breach, non-payment, or risk.

8. Suspension of Services
  • Non-payment or overdue invoices
  • Regulatory violations
  • Suspected fraud or high risk
9. Pricing and Payment

Fees are outlined in formal agreements. Payment due within 14 days. Statutory interest applies to overdue invoices per Late Payment Act 1998.

10. Limitation of Liability

No liability for indirect loss (e.g., profits/data). Direct liability capped to 12 months’ service fees.

11. Force Majeure

No liability for delay/failure due to uncontrollable events like natural disasters, war, strikes, etc.

12. Data Protection

We comply with UK GDPR and Data Protection Act 2018. Data used lawfully and transparently. Clients may access or delete their data per Privacy Policy.

13. Confidentiality

Both parties agree to keep confidential any sensitive information, except as legally required.

14. Amendments

Terms may be updated with 30 days’ notice. Continued use implies acceptance of changes.

15. Communications and Notices

We communicate via email. Clients must ensure contact info is current.

16. Call Recording and Internal Use

Calls may be recorded for quality, training, and compliance. Data may be used for service improvement, analytics, and fraud detection.

17. Governing Law and Jurisdiction

These Terms are governed by laws of England and Wales. Disputes go to courts of England and Wales.

18. Entire Agreement

These Terms replace prior agreements. Changes are valid only in writing and signed by both parties.
